I have a friend that has a Mk3 Ghia X with only one key...

I have a complete set of keys, incl the ign switch and the ring for the PATS system.. Question is, can we just replace the ring and use the new keys without having to take it to Ford?

I would agree with COLTUBBS,i know it is a lot
of cash as you say for just plugging in a pc,to set up the key,but it is the easiest way.
If you wanted to use your friends keys and pats
ignition ring, you would i am pretty sure need
the ecu as well which holds the codes, and as you say it's a MK2 donor, thats not possible.
Afraid you will just have to bite the bullet.

Isn't the PATS different on the MK3, The chip on the key is BLUE, and on the MK2, it is RED.

Yep you are right. The pats system is different between the two.

But it would be a 1st if the Mk2 system was working on a Mk3, but I won't hold my breath.

You would need the ECU, the ring is just the pickup for the key's signal (like an aerial). Some locksmiths can program keys by picking up and decoding the signal from the one key you have and I heard that they only charge about half the price of the dealers.

when i bought my car it came with the blue pats chip key and a new unprogrammed 3button key. called a locksmith out of the loacal autotrader, came within 24hrs and programmed the new 3 button to my car. cost £30 and only took 10 mins. by the looks of what i see on meg he must have cleared the ecu to reprogram the blue pats chip and 3 button together.and at only half of frauds cost ;)
